Terms & Conditions

These Terms & Conditions ("Terms") are a legal agreement between you and Rosnil Technology Private Limited ("Rosnil", "we", "us", "our") and govern your use of every mobile application, website, and service we operate (each a "Service"). They apply universally across our app portfolio. By downloading, accessing, or using any Service, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least the age of majority in your jurisdiction, or the minimum age required to form a binding contract and to use the applicable app store, to use the Services. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

2. Licence to use the Services

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use our apps on devices you own or control, and to access our websites, for your personal or internal business use. All rights not expressly granted are reserved.

3. App-store terms (Apple & Google)

Apps obtained through the Apple App Store or Google Play are also subject to that store's terms. For Apple apps, you acknowledge that these Terms are between you and Rosnil only, not Apple; that Apple has no obligation to provide support or maintenance for the app; that, to the extent permitted by law, Apple has no warranty obligation and is not responsible for product-liability, legal-compliance, or intellectual-property claims relating to the app; and that Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.

4. Your content & responsibility

You retain all rights to the documents, images, text, and files you create, import, or process using the Services ("Your Content"). Because our apps operate on your device, we do not access, store, or claim any ownership of Your Content. You are solely responsible for Your Content and represent that you have all rights necessary to use, process, and share it, and that doing so does not violate any law or third-party right.

5. Acceptable use

You agree to use the Services only for lawful purposes and in accordance with our Acceptable Use Policy, which is incorporated into these Terms. Without limiting it, you must not use the Services to create or share unlawful, infringing, fraudulent, or impersonating material, or to reverse engineer, disrupt, or circumvent the Services except where such restriction is prohibited by law.

6. Purchases, subscriptions & refunds

Some Services or features may be offered for a one-time price or by subscription, processed by Apple or Google. Prices, billing cycles, and auto-renewal terms are shown at the point of purchase. Subscriptions renew automatically until cancelled in your app-store account settings. Refunds are handled under the applicable store's policy and our Refund & Cancellation Policy.

7. Updates & availability

We may release updates that add, change, or remove features, and some updates may be required for continued use. We may modify, suspend, or discontinue any Service (in whole or in part) at any time. We are not liable to you for any modification, suspension, or discontinuation, though we will act reasonably.

8. Intellectual property

The Services — including their software, design, text, graphics, logos, names, and all related intellectual property — are owned by Rosnil or our licensors and are protected by law. These Terms do not transfer any of our intellectual property to you. "Rosnil", the Rosnil logo, and our app names and logos are our marks and may not be used without our prior written permission.

9. Third-party services

The Services may interoperate with third-party apps and services (for example, when you share a file to another app). Your use of those is governed by their own terms and privacy policies. We are not responsible for third-party services and do not endorse them.

10. AI features

Certain Services include artificial-intelligence or machine-learning features. Your use of them is subject to our AI Policy. AI output can be imperfect; you are responsible for reviewing it before you rely on it.

11. Privacy

Our Privacy Policy explains how we handle information and is incorporated into these Terms.

12. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any output — including a generated PDF or recognised text — will meet the specific requirements of any portal, authority, or recipient. You use the Services at your own risk and are responsible for reviewing output and keeping your own backups.

13. Limitation of liability

To the maximum extent permitted by law, in no event will Rosnil or its directors, employees, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the Services, even if advised of the possibility. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Services will not exceed the greater of (a) the amount you paid us for the relevant Service in the 12 months before the claim, or (b) INR 5,000 (or its equivalent). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; nothing in these Terms limits liability that cannot be limited by law.

14. Indemnity

You agree to indemnify and hold harmless Rosnil and its personnel from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Services, or your breach of these Terms or applicable law.

15. Term & termination

These Terms apply while you use the Services. You may stop at any time by ceasing use and uninstalling the apps. We may suspend or terminate your access if you breach these Terms or applicable law, or to protect the Services or other users. Provisions that by their nature should survive termination (including Sections 8, 12–14, 16, and 18) will survive.

16. Governing law & disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to applicable mandatory consumer-protection law of your country of residence, the courts at Mumbai, Maharashtra, India, will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services. Nothing here deprives you of the protection of mandatory laws of your place of residence.

17. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, provide more prominent notice. Continued use of the Services after an update takes effect means you accept the revised Terms.

18. General

These Terms, together with the policies they incorporate, are the entire agreement between you and us regarding the Services. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries except as stated in Section 3.
